USAGE POLICIES
TERMS OF USE
Nextqore, Inc. and its subsidiaries (“Nextqore”, “we”, “us”, or “our”), are engaged in the business of providing services in the space of Internet of Things, and all such other services as may be determined by Nextqore (“Services”). These Terms of Use (“Terms”) govern the access and use of Services”), and using any product, service or feature (the "Materials") made available by us.
The interested customers (“Customers” or “you”) accessing and using our Services and Materials, hereby agree to be bound by these Terms. These Terms, together with the privacy policy (“Privacy Policy”) and any other terms specifically referred to in any of these documents, constitute a legally binding agreement (the “Agreement”) between the Customers and Nextqore in relation to the access and use of the Services.
This electronic record is generated by a computer system and does not require any physical, electronic or digital signatures.
Access and use of the Services is not permitted where it is prohibited by law. By accessing and using the Services, the Customer represents and warrants that:
- the Customer is a person who can enter into a legally binding agreement as per the laws of the jurisdiction where the Customer is situated;
- in case the Customer is representing a corporation or any other entity, such entity is duly organized and validly existing under the applicable laws where such entity is situated and the person is duly authorized to represent such entity;
- the Customer is not barred by any applicable law for the time being in force; and
- the Customer has obtained all such licenses and authorizations which are in full force and effect to enter into the Agreement; and
- the Customer has ownership of digitized asset or contract to manage the digitized asset and will continue to hold such contract during the usage period.
Subject to the terms and conditions set forth in these Terms, Nextqore grants you a non- exclusive, non-transferable, limited right to access and use the Services and the Materials offered by us. You agree not to interrupt or attempt to interrupt the Services or our operation in any manner. You shall not modify, copy, distribute, transmit, display,
perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from Nextqore.
The Customers shall not use the Services and Materials in order to transmit, post, distribute, store, modify or destroy material, including without limitation, content provided by Nextqore:
- for any unlawful purpose or in violation of any applicable law, regulation, international law or laws of any other country;
- in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of third parties, or violate the privacy, publicity or other personal rights of Nextqore and/or third parties;
- that is defamatory, libelous, obscene, threatening, abusive or is offensive to other Customers and/or Nextqore, such as content or messages that promote racism, bigotry, hatred or physical harm of any kind against any group or individual;
- to post false, inaccurate, misleading, defamatory, or libelous content (including Personal Information);
- to upload files that contain viruses, trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another;
- to advertise or offer to sell or buy any goods or services for any business purpose.
- The Customer shall indemnify and hold harmless Nextqore from any claims and loss incurred by Nextqore as a result of your violation of this Agreement; and
- the Customer acknowledges that Nextqore may, at its sole discretion, monitor, remove or edit any content that the Customer contributes on our unified resource locators built and made available for the Services (“URL”). Nextqore may also pursue remedies available to it under law for any violation of this Agreement.
The Services, the information and Materials, and any software made available by Nextqore, are provided "as is" without any representation or warranty, express or implied, of any kind, including, but not limited to, warranties of merchantability, non- infringement, or fitness for any particular purpose. There is no warranty of any kind, express or implied, regarding third party content. There is no warranty on behalf of Nextqore that its URL will be free of any computer viruses.
The URL, Services and Materials may contain features and functionalities that promote and allow access to third party content, including websites, information, products or services (“Third-Party Sites”). Nextqore shall not be responsible for any problems
resulting from use of any third-party services, or suffers data loss or other losses as a result of problems with any of the other service providers or any third-party services. These Third-Party Sites are in no way integrated with Nextqore and the inclusion of any link hereon does not imply Nextqore’s affiliation or endorsement of the Third-Party site, their business practices (including their privacy policies) or any information therein.

Additions and Alterations to Terms of Use
Nextqore reserves the right to add to or alter these Terms from time to time. We will inform you of such additions/alterations through e-mails, messages to your account, or through other means available. These additions/alterations will become effective from the date mentioned in such notification.
Continued access and use of the Services and Materials following any such modification constitutes your acceptance to be bound by these Terms as so modified. It is therefore important that you review these Terms regularly. If you do not agree to be bound by these Terms and to abide by all applicable laws, you must discontinue access and use of the Services and Materials.

Disclaimer; Limitation of Liability
Customer acknowledges that the internet is an unsecure, unstable, unregulated, unorganized and unreliable environment, and that the ability of Nextqore to deliver Services is dependent on the internet and equipment, software, systems, data and services provided by various telecommunications carriers, equipment manufacturers, firewall providers, encryption system developers and other vendors and third parties. Nextqore shall not be liable for any additional charges and/or fees imposed by such third parties (including but not limited to any additional charges imposed on roaming by telecommunications carriers) on the Customer. Further, Nextqore does not warrant that the Services will operate without interruption or delay and/or be error free.
In no event shall Nextqore be liable to any entity for any direct, indirect, special, consequential or other damages (including, without limitation, any lost profits, business interruption, loss of information or programs or other data on your information handling system) that are related to the use of, or the inability to use, the content, Services, Materials, and functions of any linked Third-Party Sites, even if Nextqore is expressly advised of the possibility of such damages.
The Customer agrees to indemnify and hold harmless Nextqore, its employees, officers, directors and affiliates against any and all liability (including losses, damages, recoveries, deficiencies, interest, penalties and reasonable attorney's fees) relating to Customer’s access and use of the Services and Materials in any manner, including without limitation
of the foregoing, any action the Customer takes which is in violation of the terms and conditions of these Terms and against any applicable law.
These Terms shall be governed by and interpreted and construed in accordance with the laws of the State of Delaware, United State of America (USA). You will resolve any claim, cause of action or dispute or claim arising out of or relating to these Terms exclusively in the courts of law in the State of Delaware, USA.

PRIVACY POLICY
This Privacy Policy (“Policy”) explains how the Customer’s Personal Information submitted will be used and shared by Nextqore. By accessing and using our Services and Materials, you accept the policies and practices described in this Policy.
We may display links to other websites, applications and services maintained by third parties. When applications are provided by third parties, the privacy policy of the third party applies, and this Policy does not apply. The information practices of such other third-party services are governed by the third-party privacy policy, which we encourage you to review to better understand those third parties’ privacy practices.
This Policy is incorporated into, and is subject to, the Terms of Use. Any capitalized terms not defined in this Policy have the meaning set forth in the Terms of Use.

Information Nextqore maintains on behalf of Customer
We collect all data and information made available to us by the Customer, including data and information generated by the Customer’s devices and equipment (“User Content”). Depending on the Customer, User Content may contain Personal Information. For the purpose of clarity, “Personal Information” as used herein shall mean any data of the Customer, by which he / she / it, as a person can be identified, including without limitation, name, gender, mobile number, business name, address, email address, date of birth, date of incorporation, any identity proof number, phone number etc., to which Nextqore has or is likely to have access by virtue of the Customer’s consensual submission. Nextqore receives and maintains this information on behalf of the Customers in order to provide its Services, and Nextqore does not use such information for any other purpose except as set out herein, or as directed by the Customer, or as otherwise required or permitted by applicable law. Nextqore relies on the Customers to comply with applicable privacy and related laws when collecting, using or disclosing personal information.

Information collected from the Customers
- Where Nextqore collects Personal Information from the Customer in the capacity of a data controller, Nextqore shall be responsible for the collection, processing and disclosure of the same as described in this Policy.
- Nextqore may also collect such other anonymous data that is not associated with or linked to any Personal Information (“Anonymous Data”) and which, by itself, does not permit the identification of any individual person. Anonymous Data includes without limitation, unique identifiers of the device through which the URL is accessed, such as VPN, information of WiFi connectivity and such other information. Nextqore may also store these unique identifiers at times and create a profile for the respective anonymous Customers based on such Anonymous Data.
- Log file information is automatically reported by the Customer’s browser each time the URL is viewed. When a Customer registers information with Nextqore, its servers automatically record certain information sent by the web browser whenever such Customer visits the URL. These server logs may include information such as web request, Internet Protocol (IP) address, Analytical Code, Geo Stamp, browser type, browser language, referring/exit pages and Universal Resource Locators (URL), platform type, number of clicks, domain names, landing pages, pages viewed and the order of those pages, the amount of time spent on particular page, the date and time of the request (“Log File Information”). Such Log File Information collected is not associated with any Personal Information and is only tagged to the unique identifier for a particular device.
- Nextqore may collect location data for users through its mobile app for the purpose of providing location tracking services to the users and the users’ Organization who have explicitly signed up for such a service. The location data is used to provide a daily travel report to the users.
- A cookie is a piece of software code that an internet website sends to your browser when you access information at that site. You may opt-out of collection and usage of data through cookies by changing your settings on your browser. It is generally used for small text files which a website can use to recognize repeat users, facilitate the user’s ongoing access to and use of the site, allow a site to track usage behaviour and compile aggregate data that will allow content improvements, et cetera.
- These cookies themselves do not personally identify you, but they do identify your computer. You can erase or block this information by changing the settings on your computer. If you do erase or block this information you may not be able to utilise some features of the Services and Materials.
Nextqore may collect and process the Personal Information and other information collected as mentioned above for any of the following purposes –
- to effectively provide its Services;
- to improve the Services on a continuous basis;
- to allow the Customers to participate in surveys regarding Services being provided by Nextqore;
- provide custom, personalized content and information;
- monitor the effectiveness of our marketing campaigns;
- monitor aggregated metrics such as total number of visitors and traffic;
- to contact you and respond to your questions or requests;
- to deliver email notifications, confirmations, technical notices, updates, security alerts, and support and administrative messages that you may request;
- archival or backup purposes;
- to alert you about updated information and such other new or updated services that may be offered by us;
- to process job application and alumni related requests;
- if you contact us through the “Contact Us” function herein, or by any other means, Nextqore will process your Personal Data to the extent it is necessary for the purpose of its legitimate interests to fulfil your request and communicate with you;
- to plan and host an event or webinar, including engaging in related communication with you;
- to cooperate with public and government authorities, courts or regulators in accordance with Nextqore’s legal obligations under applicable laws to the extent required; and
- to send you marketing information, product recommendations and other non- transactional communications (e.g., marketing newsletters) about Nextqore and its affiliates and partners, including information about its promotions or events as necessary for Nextqore ’s legitimate interests to conduct direct marketing.

Sharing of the collected information
Nextqore may share the Personal Information received from the Customer:
- with its affiliates in connection with matters relating to the consumption of our Services by the Customer;
- with its contracted service providers which provide services such as IT and system administration and hosting, credit card processing, research and analytics, marketing, customer support and data enrichment; and
- if required to do so by law or regulation, to its legal counsel, law enforcement officers, governmental authorities who have asserted their lawful authority to obtain the information or where Nextqore has in good faith reasonable grounds to believe that such disclosure is reasonably necessary to enforce its Terms of Use or this Policy.
- Nextqore shall not rent, sell or otherwise provide Personal Information received from the Customer to third parties without their consent, except as described in this Policy or as required by law.
- In case of a merger with or transfer of business of Nextqore to another business entity, Nextqore will transfer Customer’s Personal Information and such other information collected to the entity which acquires the business. In such cases, Nextqore shall require that the new business entity to follow this Policy with respect to the Personal Information.
- Nextqore is committed to protect the security of any Personal Information and uses reasonable efforts including a variety of security technologies and procedures to help protect such Personal Information from any unauthorized access, loss, use or disclosure. We will take all reasonable measures in furtherance of the above commitment. However, we cannot guarantee that the Personal Information received from the Customer and other information stored on the servers will be absolutely protected. Nextqore’s systems and the communications networks through which the Customer accesses and uses the Services and Materials may be subject to security breaches and failures due to circumstances beyond our reasonable control. These may include computer “hacking”,
data theft or and physical theft among others. In such situations, Nextqore, in compliance with the applicable data protection laws, will try to rectify the problems as soon as possible.
- Any data destroyed shall be disposed of in a manner that protects the privacy of the Personal Information received by Nextqore from the Customer in an appropriate manner as per the industry standard practices and norms.
- The Customer hereby acknowledges and understands that all Personal Information provided in accessing and using the Services and Materials is with their knowledgeable consent and at the Customer’s own risk.
You have certain rights regarding your Personal Information, subject to the local data protection laws. If you are in the European Economic Area (EEA), you have the following rights:
- Right to Access: You have the right to request for a copy of, or access to your Personal Information held by us. You may be required to prove your identity before providing the requested information;
- Right to Rectification: You have the right to direct Nextqore to rectify any inaccurate or incomplete Personal Information;
- Right to Deletion; Right to be Forgotten: You have the right to request Nextqore to delete your Personal Information to the extent Nextqore is not required to retain such data in order to comply with a legal obligation;
- Right to Restriction of Processing: You have the right to restrict Nextqore from processing your Personal Information;
- Right to Data Portability: You have the right to request Nextqore to transfer your Personal Information to another data controller to the extent possible;
- Right to Object: You have the right to object to any processing of your Personal Information carried out on the basis of our legitimate interests;
- Right to Withdrawal of Consent: If you have consented to the processing of your Personal Information by Nextqore, you have the right to withdraw your consent at any time.

International Transfer of Data
In the process of providing our services to the Customer, Nextqore may transfer the Personal Information and other information that it collects to affiliated entities or other third parties across borders, and from the Customer’s country or jurisdiction to other countries or jurisdictions around the world. Therefore, if you are in the EEA, your Personal Information may be processed outside the EEA, in countries which may not provide for the same level of data protection as in the EEA. In this event, Nextqore will ensure that such recipient offers an adequate level of protection by entering into standard contractual clauses for the transfer of data as approved by the European Commission
(Art. 46 GDPR), or Nextqore will ask you for your prior consent to such international data transfers.
Any changes in this Policy by Nextqore shall be posted on www.nextqore.com to reflect changes in its Policy so that the Customers are always aware of what information Nextqore collects, uses, and under what circumstances, if any, Nextqore may disclose it.
